MASTER STATEMENT OF WORK (SOW) — MDLC Launch Offers™ (Section 7A) SOW Section 7A

(Base Document — Covering All MDLC Services, Purchases & Engagements Version: 2026 MDLC Standard


1. Overview

This Statement of Work (“SOW”) outlines the terms, expectations, responsibilities, and conditions under which Media De La Crème LLC (“MDLC”) will provide creative, content, and marketing services (“Services”) to the Client (“Client”).

The objective of this SOW is to provide clarity, alignment, and transparency for the working relationship.


2. Term & Commitment

The commitment term and structure for the Services are defined in the Package Scope (Section 7) and selected by the Client at checkout.

Payment of the first installment constitutes acceptance of this SOW and all terms contained herein.


3. Payments & Billing

3.1 Billing

Services in Section 7A are billed as one-time payments at checkout. Where a payment plan is agreed upon in writing, installments are billed automatically on the schedule specified.

3.2 Payment Acceptance

By submitting payment, the Client agrees to all terms and conditions within this SOW.

3.3 Late Payments

Unpaid invoices past 7 days may result in paused service delivery until the account is brought current.

3.4 Price Adjustments

MDLC may adjust pricing with 30 days’ advance notice. Existing committed terms are honored at the original rate through the end of the commitment.


4. Refund Policy

Due to the time, planning, scheduling, and creative resources allocated to each Client, all payments are final and non-refundable, including:

  • subscription or installment payments
  • partial months or partial deliverables
  • unused shooting days
  • unused content or assets

If a Client chooses to pause or stop using the Services, no prorated refunds will be issued.


5. Cancellations

5.1 How to Cancel

Because Services in Section 7A are one-time projects, there is no recurring billing to cancel. Once a project is purchased, work begins and the engagement is non-cancellable.

5.2 Impact of Cancellation

If the Client chooses to abandon a project after purchase, no refunds will be issued and any unused deliverables are forfeited. Outstanding balances on payment plans remain due.

5.3 MDLC Right to Terminate

MDLC may terminate the agreement if the Client becomes abusive, unresponsive, or violates terms. No refunds will be issued.


6. Scope of Services

The specific deliverables and services for each program are outlined in Section 7 (Package Scope).

The Client acknowledges:

  • MDLC does not guarantee specific results, KPIs, revenue, or performance outcomes.
  • MDLC’s role is creative, strategic, and operational — not a performance guarantee.
  • All timelines are collaborative and depend on Client responsiveness.

7. Package Scope — MDLC Launch Offers™ (Section 7A)

Section 7A covers MDLC’s one-time intro projects. The specific deliverables depend on the offer purchased at checkout, listed below.

7A.1 — Winning Ad System™

Price: $3,500 (one-time)

A complete intro package combining a content shoot with a launched ad.

Included Services

  • Offer + angle discovery
  • 1 on-site micro content shoot (half-day)
  • 1 high-performing short-form video ad
  • Winning ad script (top-performing structure)
  • Meta ad setup & launch
  • Light optimization window (7–10 days)
  • 30 days of basic post-launch support

Not Included

  • Funnel or website build
  • Ongoing ads management beyond the optimization window
  • Ongoing content creation
  • CRM or automation builds
  • Raw footage (available as add-on)

7A.2 — Script + Ad Launch™

Price: $2,000 (one-time)

Ad strategy and launch without a content shoot. Designed for clients with existing footage or static creative.

Included Services

  • Offer + angle discovery
  • Winning ad script (top-performing structure)
  • Meta ad setup & launch using Client-provided assets
  • Light optimization window (7–10 days)
  • 30 days of basic post-launch support

Not Included

  • Content shoot or video production
  • Ongoing ads management beyond the optimization window
  • Funnel, website, or CRM builds

8. Client Responsibilities

To ensure smooth service delivery, the Client agrees to:

  • Provide timely communication
  • Approve or revise deliverables within reasonable turnaround times
  • Provide brand assets when requested
  • Allow MDLC access to required ad accounts, pages, calendars, CRMs, and domains
  • Show up for scheduled filming sessions on time (if applicable)

Failure to meet responsibilities may delay production or reduce deliverables for the period.


9. Filming, Scheduling & Rescheduling

9.1 Scheduling

Where filming is included in the selected scope, MDLC will coordinate shooting times with the Client.

9.2 Rescheduling

Rescheduling within 48 hours of a shoot may result in a reschedule fee or a forfeited shooting block.

9.3 No-Show Policy

If the Client does not show for a scheduled filming session, the session is forfeited.


10. Revisions & Editing

Each piece of content includes:

  • professional editing
  • color, sound, and formatting adjustments
  • 1 round of light revisions

Major revisions requiring reshoots, new scripting, or additional labor may require an add-on or separate billing.


11. Ownership & Rights

11.1 Content Ownership

Upon full payment, the Client receives usage rights to all edited content and assets delivered.

11.2 Raw Footage

Raw footage remains the property of MDLC unless purchased as an add-on.

11.3 Portfolio Release

MDLC may use produced content and assets in its portfolio unless the Client requests otherwise in writing.


12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, client lists, strategies, pricing, and media assets.


13. Liability & Limits

MDLC is not liable for:

  • financial outcomes, lost revenue, or lost opportunities
  • platform instability or account issues (Meta, TikTok, IG, YouTube, GHL, etc.)
  • third-party software or service disruptions

Total liability shall not exceed the total fees paid by the Client in the preceding one (1) month period.


14. Communication & Response Times

Communication will be conducted through email, SMS, or project management tools.

Typical response time: 1 business day.


15. Amendments

Any changes to this SOW must be mutually agreed upon in writing.


16. Acceptance of Terms

Payment of the first installment constitutes acceptance of:

  • This SOW
  • The Package Scope (Section 7)
  • MDLC’s general terms and policies

Signature is optional and may be provided for mutual acknowledgment.
