MASTER STATEMENT OF WORK (SOW) — MDLC Dominance Systems™ (Section 7C)

(Base Document — Universal Terms for All Clients)

1. Overview

This Statement of Work (“SOW”) outlines the terms, expectations, responsibilities, and conditions under which Media De La Crème LLC (“MDLC”) will provide creative, content, and marketing services (“Services”) to the Client (“Client”).

The objective of this SOW is to provide clarity, alignment, and transparency for the working relationship.

2. Term & Commitment

The term and commitment structure of the Services are defined in the Package Scope (Section 7) and selected by the Client at checkout. Services in Section 7C are delivered as recurring subscriptions with a fixed commitment term.

Payment of the first installment constitutes acceptance of this SOW and all terms contained herein.

3. Payments & Billing

3.1 Billing

Services are billed automatically each month on the same date via the payment method provided at checkout. The selected commitment term is binding and supersedes any month-to-month default.

3.2 Payment Acceptance

By submitting payment, the Client agrees to all terms and conditions within this SOW.

3.3 Late Payments

Unpaid invoices past 7 days may result in paused service delivery until the account is brought current.

3.4 Price Adjustments

MDLC may adjust pricing with 30 days’ advance notice. Existing committed terms are honored at the original rate through the end of the commitment.

4. Refund Policy

Due to the time, planning, scheduling, and creative resources allocated to each Client, all payments are final and non-refundable, including:

  • subscription or installment payments
  • partial months or partial deliverables
  • unused shooting days
  • unused content or assets

If a Client chooses to pause or stop using the Services, no prorated refunds will be issued.

5. Cancellations

Cancellation terms vary by package and are defined in Section 7. The provisions below apply unless overridden by the applicable Section 7 scope.

5.1 How to Cancel

Cancellations of future renewals must be submitted in writing (email is acceptable) at least 7 days before the next billing date following the end of the committed term.

5.2 Impact of Cancellation

Cancellation stops billing only after the committed term has been fulfilled. It does not waive the remaining months of the selected commitment, outstanding balances, or any obligations outlined in this SOW.

In the event of cancellation prior to the end of the committed term, the remaining monthly installments for the duration of the term become immediately due and payable. The Client authorizes MDLC to charge the payment method on file for any outstanding balance owed under the committed term.

5.3 MDLC Right to Terminate

MDLC may terminate the agreement if the Client becomes abusive, unresponsive, or violates terms. No refunds will be issued.

6. Scope of Services

The specific deliverables and services for each program are outlined in Section 7 (Package Scope).

The Client acknowledges:

  • MDLC does not guarantee specific results, KPIs, revenue, or performance outcomes.
  • MDLC’s role is creative, strategic, and operational — not a performance guarantee.
  • All timelines are collaborative and depend on Client responsiveness.

7. Package Scope — MDLC Dominance Systems™ (Section 7C)

Section 7C covers MDLC’s high-volume content, organic management, and full-service marketing packages. The Client selects one of two scope variants and (where applicable) a commitment term at checkout.

7C.1 — MDLC Organic Dominance System™

A high-frequency content production and organic social media management system. MDLC films, edits, and manages your social presence so your brand stays visible and consistent without you lifting a finger.

Subscription Tiers (based on monthly filming frequency)

  • 1 shoot per month: $1,500/month
  • 2 shoots per month: $3,000/month
  • 4 shoots per month: $5,000/month

Commitment Options

  • 3-month commitment
  • 6-month commitment
  • 12-month commitment

Included Services

  • On-site filming sessions (frequency based on tier selected)
  • High-frequency short-form content production from each session
  • Editing, branding, subtitles, pacing, and formatting
  • Monthly creative themes and campaign direction
  • Posting schedule, upload management, and publishing
  • Ongoing content optimization (hooks, pacing, storyline, content mix)

Not Included

  • Paid advertising (ad setup, management, or spend)
  • Website or funnel builds
  • CRM or automation builds
  • Long-form content (YouTube, podcasts)
  • Raw footage (available as add-on)

7C.2 — MDLC Social Dominance System™

A full creative department for your business. Everything in the Organic Dominance System, plus paid advertising, a high-converting website, and a CRM with lead nurturing — all managed by MDLC.

Pricing

$120,000 — 12-month commitment ($10,000/month)

This package is exclusively offered as a 12-month engagement due to the depth of fulfillment, build-out, and ongoing management required.

Included Services — Everything in 7C.1, plus:

  • On-site filming sessions (frequency based on content calendar and campaign needs)
  • High-frequency short-form content for both organic and paid use
  • Full organic social media management (themes, uploads, publishing, optimization)
  • Ad script + creative direction
  • Full ads ecosystem management (Awareness, Engagement, Retargeting, Promo Pushes)
  • High-converting website build
  • CRM system setup with lead nurturing automations
  • Monthly performance review + optimization
  • Consistent creative direction across all channels

Not Included

  • Long-form content (YouTube, podcasts)
  • Multi-location filming outside agreed scope
  • High-end brand film projects (sold separately)
  • Raw footage (available as add-on)

Asset Handoff & Hosting

Upon completion or cancellation of the engagement, the Client retains full ownership of the website and CRM build. Any third-party hosting, domain, or platform subscriptions required to keep these assets live become the Client’s responsibility.

8. Client Responsibilities

To ensure smooth service delivery, the Client agrees to:

  • Provide timely communication
  • Approve or revise deliverables within reasonable turnaround times
  • Provide brand assets when requested
  • Allow MDLC access to required ad accounts, pages, calendars, CRMs, and domains
  • Show up for scheduled filming sessions on time

Failure to meet responsibilities may delay production or reduce deliverables for the period.

9. Filming, Scheduling & Rescheduling

9.1 Scheduling

MDLC will coordinate shooting times with the Client on a weekly or monthly basis depending on the package selected.

9.2 Rescheduling

Rescheduling within 48 hours of a shoot may result in a reschedule fee or a forfeited shooting block.

9.3 No-Show Policy

If the Client does not show for a scheduled filming session, the session is forfeited.

10. Revisions & Editing

Each piece of content includes:

  • professional editing
  • color, sound, and formatting adjustments
  • 1 round of light revisions

Major revisions requiring reshoots, new scripting, or additional labor may require an add-on or separate billing.

11. Ownership & Rights

11.1 Content Ownership

Upon full payment, the Client receives usage rights to all edited content and assets delivered.

11.2 Raw Footage

Raw footage remains the property of MDLC unless purchased as an add-on.

11.3 Portfolio Release

MDLC may use produced content and assets in its portfolio unless the Client requests otherwise in writing.

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, client lists, strategies, pricing, and media assets.

13. Liability & Limits

MDLC is not liable for:

  • financial outcomes, lost revenue, or lost opportunities
  • platform instability or account issues (Meta, TikTok, IG, YouTube, GHL, etc.)
  • third-party software or service disruptions

Total liability shall not exceed the total fees paid by the Client in the preceding one (1) month period.

14. Communication & Response Times

Communication will be conducted through email, SMS, or project management tools.

Typical response time: 1 business day.

15. Amendments

Any changes to this SOW must be mutually agreed upon in writing.

16. Acceptance of Terms

Payment of the first installment constitutes acceptance of:

  • This SOW
  • The Package Scope (Section 7)
  • MDLC’s general terms and policies
